# Terms of Use

Terms governing your account, product launches, community interactions, and paid plans on FoundrList.

**Effective:** 2026-10-30 · **Updated:** 2026-10-30

These Terms of Use (the "Terms") are a binding agreement between you and the company that makes FoundrList ("FoundrList", "we", "us", or "our"; see Section (company)). They cover your use of foundrlist.com, our apps, emails, APIs, AI features, and every other product or service we offer (together, the "Services").

By creating an account, buying something, or otherwise using the Services, you agree to these Terms and to the policies they refer to, including our [Privacy & Cookies Policy](https://www.foundrlist.com/legal/privacy). If you don't agree, please don't use the Services.

> **Section (disputes) requires most disputes between you and us to be resolved by binding individual arbitration, not in court, and waives class actions and jury trials.** It also explains how to opt out within 30 days. If you live in the EU, UK, or Switzerland, the arbitration terms don't apply to you as a consumer.

## 1. About these Terms

### What FoundrList is

FoundrList is a social network and launch platform for founders and makers. You can list products, launch them on weekly boards, post, comment, upvote, follow, and message other members. Joining and listing a product are free. Optional paid services are advertising and promotion on FoundrList (featured launches, ad spots, a newsletter feature, and sponsored blog posts) and a directory submission service. Paid services buy placement and work we do, not traffic, votes, rankings, or results (see Section (launch-services)).

### Other terms that apply

These Terms include, and you also agree to:

- our [Privacy & Cookies Policy](https://www.foundrlist.com/legal/privacy), which explains how we handle personal data;
- our [Editorial Policy](https://www.foundrlist.com/legal/editorial-policy), which explains how editorial content, rankings, and paid labels work;
- the details shown when you buy something (the plan, price, duration, and renewal terms at checkout), which form part of your order; and
- any extra terms for a specific feature or program that we show you before you use it.

If those terms conflict with these Terms, the more specific terms win for that feature or order.

### Using FoundrList for a company

If you use the Services on behalf of a company or other organization, you confirm that you have the authority to accept these Terms for it, and "you" includes that organization.

### Headings

Headings are there to help you read and are not legally binding. "Including" means "including without limitation".

## 2. Eligibility and your account

### Who can use FoundrList

You must be at least 18 years old, or the age of majority where you live if that's older, and able to form a binding contract. The Services aren't directed to children, and we'll close accounts we learn belong to someone under 18.

You can't use the Services if you've been banned from them before, or if Section (sanctions) applies to you.

### Your account

You can sign up with email and a password, Google, or GitHub, and you can add a passkey. Please keep your account details accurate and up to date. Your username can't impersonate someone else or use a name you have no right to use, and you can't sell or transfer your account without our written permission.

### Keeping it secure

Keep your login secure and don't share your account. You're responsible for everything that happens under your account, including actions by people you let use it and actions you ask our AI features to take. Tell us right away at [support@foundrlist.com](mailto:support@foundrlist.com) if you think someone has accessed your account without permission.

## 3. Using FoundrList

### Our permission to you

As long as you follow these Terms, we give you a personal, revocable, non-exclusive, non-transferable permission to use the Services, including for your business. This permission covers using the Services as we offer them; it doesn't give you any ownership of the Services.

### Free and paid features

Many features are free. Others cost money and are described at checkout and in the Paid services sections below. We may change which features are free or paid, but we'll never charge you for something without your agreement.

### Changes to the Services

We keep improving FoundrList, so features may change, be limited, or be retired. If a change materially reduces something you've already paid for, we'll give you reasonable notice and either provide a comparable alternative or refund the unused part of what you paid.

### Beta and experimental features

Features marked beta, preview, or experimental may be unreliable, may change without notice, and are provided "as is". We may stop offering them at any time.

### Availability

We work hard to keep FoundrList running, but we don't promise it will always be available, uninterrupted, or error-free. Maintenance, outages at providers we rely on, and events outside our control can cause downtime.

## 4. Listings and launches

### Who can list a product

You may list a product you own or are authorized to represent. If you add collaborators or team members, you confirm they agreed to be shown. If you list a product you don't own, it must be accurate, and the owner can ask us to transfer, correct, or remove it.

### Accurate and lawful listings

Everything in your listing (name, tagline, description, images, videos, pricing, links, and claims about features, results, users, or awards) must be true, not misleading, and backed up if challenged. Your product, and the website and app it links to, must be lawful and safe and must comply with Section (acceptable-use).

### Review, editing, and removal

We may review listings before or after they go live. To keep the directory accurate and useful, we may categorize, format, edit for clarity, add labels, or correct factual errors in a listing. We may also reject, unpublish, or remove a listing that breaks these Terms, creates legal or safety risk, or no longer works (for example, a dead or hijacked website).

### Launch scheduling

Launches run on weekly boards. Weeks start and end in U.S. Pacific Time. Free launches join a queue and go live on a date at least four weeks out, and qualify only after a step such as adding a FoundrList badge to your site or taking part in the community (for example, upvoting and commenting on other launches). Paid launches go live as soon as payment clears.

We decide launch dates, and we may move a scheduled launch if needed (for example, to fix a problem with the listing or because of capacity). If we move a paid launch and you don't accept the new date, you can ask for a refund under Section (refunds).

### Badges and site checks

If you add a FoundrList badge or embed to your website, we may check your site automatically to confirm it's there. Removing a required badge can end the benefit it unlocked. You may use our badges only as we provide them and only for products that are actually listed on FoundrList.

## 5. Votes, rankings, and fair play

### Keep votes genuine

Rankings only mean something if votes are real. Outside the features we provide, you must not:

- buy, sell, trade, or offer anything of value for upvotes, comments, follows, or reviews;
- join or run vote rings, upvote-for-upvote groups, or coordinated voting schemes;
- use bots, scripts, click farms, or multiple, fake, or borrowed accounts to vote or comment;
- ask people to create accounts just to vote for you, or flood other users with vote requests; or
- interfere with anyone else's launch, including through fake reports or negative voting campaigns.

Sharing your launch and asking your own audience to check it out is fine. Promising them something in return for a vote isn't.

### How rankings work

Boards show featured (paid) launches first, then rank by upvotes and recency. Paid placements are labeled. We may weigh, filter, or discount activity we believe is not genuine, and we may change how rankings work at any time. Our [Editorial Policy](https://www.foundrlist.com/legal/editorial-policy) has more detail.

### What we can do

If we believe a launch has benefited from manipulation, whoever caused it, we may remove votes or comments, reset or freeze rankings, remove the launch from a board, revoke badges or other recognition, and suspend the accounts involved. Payments for a launch removed for manipulation you were responsible for are not refundable.

## 6. Your content

### You own your content

Anything you post or upload, including listings, logos, images, videos, comments, posts, polls, messages, profile details, and skills, is your "Content". You keep ownership of it. We don't claim ownership of your Content.

### Permission you give us

You give FoundrList a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, adapt (for example, resizing images or reformatting text), translate, publish, display, perform, and distribute your Content to operate, improve, and promote the Services. This covers the site and apps, emails and newsletters, RSS and JSON feeds, our public API and Markdown pages, social media posts, search engines and AI search tools, and marketing that features products launched on FoundrList.

For private Content (such as drafts or direct messages), we only use this license to provide the Services to you and the people you share it with, and to keep the Services safe.

### Other users

Content you make public can be viewed, shared, linked to, quoted, and embedded by other users and visitors as the Services allow. Content you send to specific people can be viewed by them.

### How long the license lasts

The license lasts while your Content is on the Services. When you delete Content or your account, we stop displaying it within a reasonable time, except for: copies in backups and logs, which age out; Content others have shared or quoted, or that is part of someone else's content (such as a reply to your comment); records we must keep for legal, billing, tax, or fraud reasons; and launch records that may stay in aggregated or anonymized form (for example, past weekly board results).

### Your promises about your Content

Each time you upload or post Content, you confirm that you own it or have all the rights and permissions needed to post it and grant this license (for example, for logos, screenshots, images, videos, music, and text you didn't create), that your Content doesn't infringe anyone's copyright, trademark, or other rights or break any law, and that anyone identifiable in it has agreed to be included. To the extent the law allows, you waive any moral rights in your Content as needed for us to use it as described here.

### Feedback

If you send us ideas or suggestions about the Services, we can use them for any purpose without paying or crediting you.

### Moderation

We don't review all Content before it's posted and aren't responsible for Content posted by others. We may, but don't have to, review, hide, label, or remove any Content, and limit or suspend accounts, if we believe that's needed to enforce these Terms, follow the law, or protect people or the Services. Where reasonable, we'll tell you what we did and why.

## 7. Community rules and acceptable use

### Content rules

Don't post or send Content that:

- is illegal, or promotes or helps with illegal activity;
- infringes anyone's copyright, trademark, privacy, publicity, or other rights;
- is false, misleading, or deceptive, including fake reviews, testimonials, or user numbers;
- harasses, threatens, bullies, doxxes, or defames anyone, or attacks people based on protected characteristics;
- is sexually explicit, exploits minors in any way, or shares intimate images without consent;
- glorifies violence or self-harm, or is designed to shock;
- contains malware, phishing, or links to unsafe sites; or
- is spam, including repetitive, unsolicited, or off-topic promotion.

### Products we don't allow

You can't list, launch, or advertise products or services that are illegal where offered, or that involve: scams, pyramid or multi-level marketing schemes, or get-rich-quick claims; unregistered securities, investment, or token offerings, or unlicensed financial services; unlicensed gambling; weapons, drugs, or other regulated goods sold unlawfully; adult sexual content; spyware, stalkerware, or tools built to break into systems, evade security, or harvest personal data; deepfakes or non-consensual imagery of real people; or fake engagement, followers, or reviews.

### Don't misuse the platform

You must not:

- access the Services through automated means, scrape them, or copy large parts of their content or data, except through our public API, feeds, and Markdown endpoints, or as our robots.txt and llms.txt allow;
- use content or data from the Services to build a competing directory or database, or as a dataset for training AI models, without our written permission;
- probe, scan, or test the security of the Services, or get around rate limits, access controls, or usage caps (please report security issues to us instead);
- interfere with or overload the Services, or upload anything that harms them or other users;
- access other people's accounts or data, or collect users' personal information without their consent;
- reverse engineer the Services, except where the law expressly allows it;
- impersonate any person or organization, or misrepresent your connection with FoundrList; or
- help anyone else do any of the above.

### Direct messages

Use messages for real conversations. Mass, unsolicited, or automated messages are not allowed, and unverified accounts have daily limits on new conversations. Messages are not end-to-end encrypted. You can block people and report messages, and we review messages that are reported to us.

### Reporting problems

If you see something that breaks these Terms, email [support@foundrlist.com](mailto:support@foundrlist.com). For copyright or trademark complaints, see Section (copyright).

## 8. AI features

### What they do

FoundrList includes AI features, such as our launch assistant (Ghosty), AI-written listing drafts and launch comments, ad copy suggestions, website checks, competitor reports, and SEO recommendations. They are powered by OpenAI, and some of them search the web.

### Check before you rely on it

> **AI output can be wrong, incomplete, out of date, or similar to output given to others.** Competitor reports and website checks rely on public data and estimates and may be inaccurate. AI output is not legal, financial, tax, or other professional advice. Review it before you publish it, act on it, or make decisions with it.

### Actions the assistant takes for you

When you ask the assistant to do something in your account (such as write or edit a listing, update a live launch, change your profile, or delete drafts), it may do it right away. We ask you to confirm some changes, but **you are responsible for the instructions you give and the changes made because of them**, so be specific, and review what it did. The assistant can't pay for anything: purchases only happen when you complete checkout yourself.

### Your inputs and outputs

Between you and us, you own what you type into AI features and, to the extent the law allows, the output generated for you. You're responsible for making sure output you publish (for example, listing text) is accurate and lawful and doesn't infringe anyone's rights. Don't enter sensitive personal data, passwords, or other people's confidential information.

We send your inputs to OpenAI only to generate responses, with OpenAI's response storage turned off. We keep a record of your conversations with the launch assistant so we can support you and improve it, and our team can read it. We don't use your conversations with AI features to train AI models. Our [Privacy & Cookies Policy](https://www.foundrlist.com/legal/privacy) explains this in more detail.

### Limits and misuse

We may set usage limits on AI features. Don't use them to create Content that breaks Section (acceptable-use), to try to bypass their safeguards, or to extract their instructions or underlying models.

## 9. Skills directory

The skills directory lists instructions and code for AI agents published by members of the community, often imported from GitHub.

- **For people who install skills:** skills come from their authors, not from FoundrList. We don't review every skill for safety, security, or quality. A skill can run code and access data on your machine, so read it before you install or run it. You use skills at your own risk, under the license their author chose.
- **For authors:** you must own or have the right to publish what you submit, and you must state or include a license. Skills must not contain malware, hidden behavior, prompt injection designed to exfiltrate data or credentials, or anything else that breaks Section (acceptable-use). We may review, label, feature, verify, or remove any skill.

## 10. Developers, Sign in with FoundrList, and the public API

### Developer apps

You can register apps that let users "Sign in with FoundrList" and, with their permission, access data such as their profile, email, and total spend on FoundrList. If you register an app, you agree to:

- request only the scopes your app needs and use the data only to provide features the user asked for;
- not sell user data, share it with data brokers, or use it for advertising profiles;
- show users a privacy policy that explains how your app uses their data, and delete their data when they revoke access or ask you to, unless the law requires you to keep it;
- treat spend data as confidential;
- keep your client secrets and tokens confidential and tell us promptly about any security incident involving FoundrList data; and
- not suggest that FoundrList endorses your app unless we've verified it.

You're responsible for your app and how it treats users. Partner discounts, referral links, and verified status are offered at our discretion and may change. We may limit, suspend, or revoke apps, tokens, or access at any time, especially to protect users.

### Public API, feeds, and Markdown

You may use our public API, RSS and JSON feeds, and Markdown endpoints to display or reference FoundrList listings, if you: stay within rate limits; attribute FoundrList and link back to the original listing; don't present the data as your own or as a competing directory; and remove data when we ask. AI systems may cite FoundrList content as described in our llms.txt. We may change or end these endpoints at any time.

## 11. Emails and communications

You agree that we can contact you electronically, by email, in-app notifications, or messages, and that these communications meet any legal requirement for written notice.

- **Service emails** about your account, security, billing, and launch status are part of the Services, and you'll receive them as long as you have an account.
- **Other emails**, like digests, ranking and upvote alerts, product updates, and the newsletter, can be turned off any time using the unsubscribe link or your notification settings.

## 12. Payments, subscriptions, and renewals

### What we sell

These are our current paid services and list prices in U.S. dollars. Checkout always shows the exact item, price, and whether it renews before you pay.

- **Standard Launch:** $29 one-time. Your launch goes live as soon as payment clears and is featured on the home page for 7 days.
- **14-Day Featured:** $49 one-time for 14 featured days, or $39 a week (7 featured days for each week you pay, renewing weekly until you cancel).
- **30-Day Featured:** $99 one-time for 30 featured days, or $79 a month (30 featured days for each month you pay, renewing monthly until you cancel).
- **Home feed spotlight (ad):** $49 for 7 days, or $39 a week, renewing weekly until you cancel.
- **Sidebar ad:** $79 for 7 days, or $69 a week, renewing weekly until you cancel.
- **Both ad placements together:** $99 for 7 days, or $89 a week, renewing weekly until you cancel.
- **Newsletter Feature:** $25 one-time, for a feature in one weekly issue of the FoundrList newsletter.
- **Featured blog post:** $99 one-time, for one sponsored article about your product on our blog, written after you launch.
- **Directory submissions:** $179 one-time to submit your product to 50 third-party directories, or $279 for 100.
- **Bundles:** SEO Boost (a featured blog post plus 50 directory submissions) and Boost Pro Max (a featured blog post, a Newsletter Feature, and 100 directory submissions) are priced as the sum of their items.

Every paid launch plan also gives your listing a verified badge and a dofollow link (see the Links clause in Section (launch-services)). Our offers and discounts are described in Section (promotions). If prices change, the price shown at checkout is the one that applies.

### Currency and taxes

Our prices are set in U.S. dollars. At checkout, Stripe may show you the price in your local currency and let you pay in it, using an exchange rate it shows before you pay; if you choose that, you're charged in that currency. Otherwise you're charged in U.S. dollars, and your bank may add conversion or foreign transaction fees.

Prices don't include taxes unless checkout shows them. We don't currently add sales tax, VAT, or GST at checkout. Purchases may be subject to taxes where you live, and you're responsible for any that apply.

### How payment works and payment security

Payments are processed by Stripe, our payment processor. You enter your card or other payment details on Stripe's checkout page, so they never touch or get stored on our servers. Stripe is certified to PCI DSS Level 1, the highest level of card industry security. We receive only what we need to fulfil and support your order, such as your email, the items, the amount, and the payment status.

By paying, you confirm you're allowed to use the payment method, and you authorize us, through Stripe, to charge it for your order and, for subscriptions, for each renewal until you cancel.

### One-time purchases

One-time purchases are for a fixed period or deliverable and never renew.

### Automatic renewal

> **The weekly and monthly options of 14-Day Featured and 30-Day Featured, and the weekly options of our ad placements, are subscriptions. They renew automatically at the end of each billing period, and we'll charge the payment method on file the price shown at checkout (plus any applicable taxes) every week or month until you cancel.** There are no free trials. The price, billing period, and the fact that it renews are shown at checkout before you pay, and your active renewals are listed in Studio → Billing. We don't send a reminder email before each renewal.

### How to cancel

You can cancel any subscription at any time, online, in [Studio → Billing](https://www.foundrlist.com/studio/billing) (through Stripe's billing portal), or by emailing [support@foundrlist.com](mailto:support@foundrlist.com). Cancelling stops future renewals. Your plan stays active until the end of the period you've already paid for, and then ends; you aren't charged again. We don't give partial refunds for the time left in a period, except as described in Section (refunds) or where the law requires.

When a recurring featured plan ends, your launch stops being featured, but your listing and its link stay live. When a recurring ad ends, the ad stops showing. Your account, listings, and data aren't affected by cancelling.

### Price changes

We may change prices. Changes never affect a period you've already paid for. For subscriptions, we'll tell you before a new price applies (at least 7 days before for weekly plans and at least 30 days before for monthly plans), and you can cancel before it takes effect.

### Failed payments

If a renewal payment fails, Stripe may retry it. A renewal only extends your featured time or ad once it's paid, so if payment doesn't go through, the paid feature ends when the period you already paid for ends.

## 13. Offers, promotion codes, and partner discounts

### Launch offer

While you set up a launch with our launch assistant, we may offer 40% off your order. The offer is single-use, lasts 30 minutes from when it's shown, applies once to the first payment of the order (not to later renewals), and can't be combined with another discount. If it runs out unused, we may offer it again.

### Free-queue offers

If you choose the free launch queue, we may offer the Standard Launch at a reduced price ($19, and then $9 if you decline that). Each founder can use each offer once per listing, and only for a listing that isn't already on a paid launch.

### Promotion codes

We sometimes share promotion codes. A code works only as described when we share it, until it expires or reaches its usage limit, and Stripe checks it at checkout. One discount applies per order.

### Partner referral discounts

Some partners (for example, apps that use Sign in with FoundrList) have a referral link at foundrlist.com/via/<code>. Following it, or connecting your account through that partner, saves the partner's code in a cookie for 30 days. While it's saved, your next checkout gets that partner's discount (between 1% and 50%, as shown at checkout) once, on the first payment, unless another discount applies. FoundrList doesn't run an affiliate program and pays partners no commissions.

Partners must not refer themselves, make misleading claims, spam, or bid on FoundrList's name in search ads. We may change or end partner discounts at any time; that doesn't affect orders already paid.

### General rules for offers

Unless we say otherwise, discounts can't be combined, have no cash value, and can't be transferred or resold. We may cancel a discount obtained through fraud, abuse, or an obvious error before the order is paid. Discounted purchases follow the same refund rules as the full-price version.

## 14. Refunds

### Full refund until delivery starts

You can get a full refund for any purchase if you ask before we start delivering it. Once delivery has started, purchases are non-refundable, except as set out below or where the law requires. Paid launches and ads start as soon as your payment clears, so for those the refund window usually closes at checkout; the other items below have a longer window.

- **Launch plans (one-time):** full refund if you ask before your launch goes live. After that, no refund; your listing and link stay live.
- **Recurring featured launch plans:** full refund if you ask before the first featured period starts. After that, cancel to stop future renewals; a period that has started isn't refunded.
- **Ad placements and home feed spotlights:** full refund if you ask before your ad starts showing. After that, no refund, unless we fail to run it (see Section (advertising)).
- **Newsletter feature:** full refund if you ask before the issue with your feature is sent.
- **Featured blog post:** full refund if you ask before we start writing it. After that, we'll work with you on reasonable edits.
- **Directory submissions:** full refund if you ask before we make the first submission. After that, we refund any directories we can't submit to, pro-rata.

Bundles (like SEO Boost or Boost Pro Max) are treated item by item. Discounted purchases (such as launch offers) follow the same rules as the full-price version. "Live" and "start" mean the moment the Services begin delivering that item to you, as shown in your Studio.

### If we get it wrong

If we don't deliver what you bought, or something goes wrong because of us, tell us and we'll fix it, deliver it again, extend it, or refund the affected part, whichever is fairest.

### How to ask for a refund

Email [support@foundrlist.com](mailto:support@foundrlist.com) from your account email with your order details (the receipt or the date and amount). Approved refunds go back to your original payment method, in the currency you paid, usually within 5 to 10 business days depending on your bank. A refund cancels the item refunded and removes the benefits that came with it (for example, featured placement, a verified badge, or a dofollow link).

A refund doesn't cancel a subscription by itself. To stop future charges, cancel it in [Studio → Billing](https://www.foundrlist.com/studio/billing) or ask us to cancel it when you request the refund.

### EU and UK consumers

If you're a consumer in the EU or UK, you have 14 days from purchase to withdraw from a purchase of digital services, without giving a reason. Because our paid services start right after payment, if you withdraw within those 14 days we'll refund the price minus a proportionate amount for what we've already provided (for example, featured days that have already run). To withdraw, email us as described above. This doesn't affect any other rights you have under consumer law.

### Disputed charges

If a charge looks wrong, email [support@foundrlist.com](mailto:support@foundrlist.com); that's usually the fastest way to fix it, and we'll refund charges made in error. You can also dispute a charge with your bank or card issuer at any time. If you do, we'll share the relevant order records with Stripe and your bank so they can decide.

## 15. Launch, promotion, and SEO services

### What we deliver

Paid launches, ads, the newsletter feature, and sponsored blog posts are advertising: you're buying a place and a time on FoundrList where people can see your product. Directory submissions are a service: we do the submitting for you. We deliver exactly what checkout describes. We don't sell traffic, clicks, visits, votes, followers, reviews, or search rankings.

### Featured placement

Featured placement lasts for the number of days in your plan, counted from when your launch or featured period goes live, and appears in the featured areas we choose. Featured placements are labeled as paid where they appear.

### Links

Every paid launch plan includes a dofollow link: the link to your product's website on your FoundrList listing is published without the "nofollow" attribute for as long as your listing is live on FoundrList and follows these Terms. That's what "permanent" means in our plans. Free listings link with "nofollow". Links in ads and sponsored blog posts are marked "sponsored". A dofollow link is all we deliver: we don't control whether search engines crawl, index, or give weight to any link, and we may change link attributes when we need to, for example to follow search engine guidelines or the law, or if the linked site becomes unsafe or changes ownership or purpose.

### Directory submissions

We submit your product to the number of third-party directories listed at checkout (50 or 100) and send you a report of the submissions we made. Each directory is independent and decides on approval, timing, how long a listing stays up, and whether its link is dofollow or nofollow, so we don't promise any number of approved listings or links. If a directory closes or refuses submissions, we'll substitute a comparable one where we can, and we refund pro-rata for any we can't make. You agree that we may create accounts and submit your product details (such as its name, website, description, images, and a contact email) on your behalf for this purpose. Questions: [seo@foundrlist.com](mailto:seo@foundrlist.com).

### No guaranteed results

> **We don't guarantee any specific traffic, clicks, upvotes, signups, sales, search rankings, Domain Rating, AI citations, or other results.** Those depend on your product and on search engines, AI tools, directories, and other third parties we don't control. Visitor, subscriber, and ad-view figures we publish are measurements from a recent period, shared by everyone in a placement; they change over time and aren't a promise of what your placement will get.

### Third-party data

Data we show about your site or competitors (for example from Ahrefs, Google PageSpeed Insights, the Chrome UX Report, Tranco, or the Wayback Machine) comes from those providers, is shown as reported, and may be delayed, incomplete, or wrong.

## 16. Advertising and sponsored placements

### Ad standards

Ads, sponsored spots, and their landing pages must follow Section (acceptable-use), be truthful and not misleading, comply with advertising and consumer protection laws (including rules on endorsements and disclosures), and only use material you have the rights to. You're responsible for your ads and the claims in them.

### Review and labeling

We may review, reject, ask for changes to, or remove any ad at any time. Ads are labeled "Sponsored" or similar, and their links are marked as sponsored. Unless we agree otherwise in writing, ad placements are not exclusive, and we may show ads from your competitors.

### Scheduling and delivery

Ads start showing as soon as payment clears and run for the period you bought (7 days, or each week you pay for). Ads rotate with other sponsors in the same placement. We don't guarantee a number of views or clicks. If a campaign doesn't run as booked because of us, we'll extend it or refund the unused part. If we pause or remove an ad because it breaks these Terms, the unused part is not refunded.

## 17. FoundrList's intellectual property

The Services, including our software, design, text we write, data compilations, and our name, logos, and badges, belong to FoundrList and our licensors and are protected by law. Apart from the permissions in these Terms, you get no rights to them. Don't use our name or logos in a way that suggests we endorse or partner with you, except for the badges we provide for your listing.

## 18. Copyright and trademark complaints

### Reporting copyright infringement

We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA) and similar laws, and we remove or disable access to infringing material when we receive a valid notice. Our designated agent is: **Copyright Agent, OG APPS, LLC**, [legal@foundrlist.com](mailto:legal@foundrlist.com). Send notices by email with the subject "Copyright notice", including:

1. your physical or electronic signature;
2. identification of the copyrighted work you believe is infringed;
3. the material you believe is infringing, with the URL or other details so we can find it;
4. your name, address, phone number, and email address;
5. a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them.

### Counter-notices

If we remove your Content after a notice and you believe it was a mistake or misidentification, you can send a counter-notice to the same address with: your signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and your name, address, and phone number, with a statement that you consent to the jurisdiction of the federal district court for your address (or, if you're outside the U.S., any judicial district where we may be found) and will accept service from the person who sent the notice. Unless the complainant tells us they've filed a lawsuit, we may restore the material within 10 to 14 business days.

### Repeat infringers and false claims

We close the accounts of users who repeatedly infringe, and we may close an account after a single serious case. Knowingly sending a false notice or counter-notice can make you liable for damages.

### Trademark and other complaints

If you believe a listing, username, or ad misuses your trademark or otherwise violates your rights, email [legal@foundrlist.com](mailto:legal@foundrlist.com) with details of your rights and the Content involved.

## 19. Third-party products, sites, and services

FoundrList lists and links to products, websites, and services run by others, and our Services rely on third-party providers. We don't control them and aren't responsible for their content, products, privacy practices, or availability. Listing a product is not an endorsement. Any deal you make with a maker, advertiser, or other user is between you and them; do your own research before you buy, sign up, or share data.

## 20. Privacy

Our [Privacy & Cookies Policy](https://www.foundrlist.com/legal/privacy) explains what personal data we collect, how we use and share it, the cookies and similar technologies we use, and your rights. If you use the Services to collect personal data from others (for example, through a developer app), you're responsible for doing so lawfully.

## 21. Suspension and termination

### Leaving FoundrList

You can stop using the Services at any time and delete your account yourself in Settings → Account (we email you a code to confirm). Deleting your account is permanent. It removes your account and profile; what happens to your Content and the records we keep is described in Section (your-content) and our [Privacy & Cookies Policy](https://www.foundrlist.com/legal/privacy).

**Deleting your account cancels any active subscription immediately,** so you won't be charged again. Time left in the current period isn't refunded, except as described in Section (refunds).

### Suspension or termination by us

We may suspend or close your account, or limit features, if you break these Terms, if your use creates risk or possible legal exposure for us or others, if you don't pay, if required by law, or if your account has been inactive for a long time. Where reasonable and lawful, we'll tell you in advance and give you a chance to fix the issue or download important Content. If you think we made a mistake, contact us.

### What happens next

When your account ends, your right to use the Services ends too. If we close your account without cause (that is, not because you broke these Terms or the law), we'll refund prepaid services you haven't received. If we close it because you broke these Terms, payments are not refunded.

Sections that by their nature should continue after termination, such as payment obligations, licenses for Content already shared, ownership, disclaimers, limits of liability, indemnity, and dispute resolution, continue to apply.

## 22. Disclaimers

> THE SERVICES, INCLUDING ALL CONTENT, LISTINGS, AI OUTPUT, AND THIRD-PARTY DATA, ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DON'T WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY CONTENT IS ACCURATE OR RELIABLE, OR THAT ANY PRODUCT LISTED ON FOUNDRLIST IS SAFE, LAWFUL, OR AS DESCRIBED.

Some places don't allow these disclaimers, so some of them may not apply to you. Nothing here limits warranties that can't be excluded by law, or your rights as a consumer.

## 23. Limitation of liability

> TO THE FULLEST EXTENT PERMITTED BY LAW, FOUNDRLIST AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
>
> OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

These limits apply even if a remedy fails of its essential purpose. They don't limit liability that can't be limited by law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence, and they don't limit your consumer rights where the law doesn't allow it. They also don't limit your obligation to pay for Services you bought or your obligations under Section (indemnity).

## 24. Indemnity

To the extent the law allows, you'll defend, indemnify, and hold harmless FoundrList and its affiliates, officers, employees, and agents from any third-party claims, and the resulting losses, damages, fines, and costs (including reasonable legal fees), arising from: your Content, listings, ads, or products; your developer apps; your breach of these Terms; or your violation of any law or anyone else's rights. We'll tell you about the claim, may choose to control its defense, and you'll cooperate with us. You can't settle a claim that imposes obligations on us without our written consent.

## 25. Disputes, arbitration, and class action waiver

> **PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT, TO HAVE A JURY TRIAL, AND TO JOIN A CLASS ACTION.**

### Let's talk first

Most problems can be solved quickly by talking. Before starting arbitration or a court case, you and we each agree to send the other a written notice describing the dispute and the relief requested, and to try in good faith to resolve it for 60 days. Send notices to [legal@foundrlist.com](mailto:legal@foundrlist.com); we'll send ours to your account email. Deadlines to bring a claim are paused during these 60 days.

### Binding individual arbitration

If we can't resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including whether this section is valid or applies) will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules if you're using the Services as a consumer, or its Commercial Arbitration Rules otherwise. The Federal Arbitration Act governs this section.

Hearings will be held by video or phone where possible, or in person in the county where you live (if you're a consumer) or in Wilmington, Delaware (otherwise). Fees are paid as the AAA rules provide; for consumers, we'll pay any filing, administration, and arbitrator fees beyond what you'd pay to file in court. The arbitrator may award the same individual relief a court could, but only in favor of the individual party seeking relief and only as needed for that party's individual claim.

### Exceptions

Either of us may instead bring an individual claim in small claims court if it qualifies, and either of us may go to court to stop infringement or misuse of intellectual property or unauthorized access to the Services, or to get emergency relief.

### No class actions or jury trials

**You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. You and we each waive the right to a jury trial.** If this class waiver is found unenforceable for a particular claim, that claim (and only that claim) will be decided by a court, not an arbitrator, after any individual arbitration is finished.

### Mass filings

If 25 or more similar arbitration demands are filed by or with the help of the same lawyers or organizations, they'll be administered in batches of up to 50, with the AAA's mass arbitration procedures applying where available. Deadlines to bring claims are paused for demands waiting in later batches.

### Opting out

You can opt out of this arbitration agreement by emailing [legal@foundrlist.com](mailto:legal@foundrlist.com) within 30 days of first accepting these Terms, with the subject "Arbitration opt-out" and your name and account email. If you opt out, the rest of these Terms still apply, and disputes will go to the courts listed below. If we make a material change to this section, you can reject it within 30 days of the change.

### Governing law and courts

These Terms are governed by the laws of the State of Delaware, U.S., without regard to its conflict-of-law rules, and by applicable U.S. federal law. Any dispute not subject to arbitration will be heard only in the state or federal courts located in New Castle County, Delaware, and you and we consent to their jurisdiction. To the extent the law allows, any claim must be brought within one year after it arises.

### Consumers outside the U.S.

If you're a consumer in the EU, the UK, Switzerland, or another country whose law doesn't allow these terms, the arbitration, class waiver, and one-year limit don't apply to you; you keep the protection of the mandatory laws of the country where you live, and you can bring claims in your local courts.

## 26. Sanctions, export rules, and local laws

You may not use the Services, and we won't sell to you, if you are located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk People's Republic, and so-called Luhansk People's Republic regions of Ukraine), or if you are on, or owned or controlled by someone on, a U.S., UK, EU, or UN sanctions or restricted-party list. Our paid services are not offered to people or organizations in Russia or Belarus.

You'll comply with all export control and sanctions laws that apply to your use of the Services, and with the laws where you live and where you offer your products, including laws on advertising, consumer protection, and privacy. You're responsible for whether your use of the Services is lawful where you are.

## 27. Changes to these Terms

We may update these Terms as the Services or the law change. The date at the top of this page shows when the current version took effect. For material changes, we'll give at least 14 days' notice by email or in the Services before they take effect, unless the change is needed sooner for legal or security reasons. Changes won't apply to a period you've already paid for, or to disputes that arose before the change. If you keep using the Services after a change takes effect, you accept it. If you don't agree, stop using the Services and cancel any subscription.

## 28. General terms

- **Entire agreement.** These Terms, the policies they refer to, and your order details are the entire agreement between you and us about the Services, and replace any earlier agreements on the same subject.
- **Assignment.** You can't transfer these Terms without our written consent. We may transfer them, for example as part of a merger, acquisition, or sale of assets.
- **Severability and waiver.** If part of these Terms is unenforceable, the rest stays in effect and that part is enforced as fully as possible. If we don't enforce something right away, we haven't waived our right to do so later.
- **Events outside our control.** We're not responsible for delays or failures caused by events beyond our reasonable control, such as outages at hosting, payment, or AI providers, internet failures, natural disasters, war, or government action.
- **Relationship.** You and we are independent parties. These Terms don't create a partnership, joint venture, agency, or employment relationship, and they don't give anyone else rights under them.
- **Notices.** We'll send notices to your account email or show them in the Services. You can send notices to [legal@foundrlist.com](mailto:legal@foundrlist.com).
- **Language.** These Terms are written in English. If we provide a translation and it conflicts with the English version, the English version controls, unless the law requires otherwise.
